The Relationships between TIA Board, Management and Members

This note explains the terminology and interactions between TIA Board, Management and Members for Strategic Direction and Day-to-Day issues.

TIA current constitution calls for the annual election of a Board from its formal Industry Councils. Historically, these councils mirrored the make-up of the Industry at that time (Air Transport, Surface Transport, RTO’s, Distribution, etc). In addition, three general Industry representatives and a representative of Tourism NZ complete the Board (13 in all). The constitution presumed that Industry Councils would function on a voluntary basis outside of the Association’s day-to-day management –somewhat of a challenge in today’s environment.

TIA requires a structure that has an elected Board for its governance plus an effective mechanism to ensure it reflects member’s interests on day-to-day issues (Government legislation, etc). Management uses Sector Reference Groups for this purpose.

A Glossary of Terms

The Board of TIA
The Board is elected on a representative basis from the original nine Industry Councils plus three General nominees (plus TNZ) as defined in the Constitution. The Board is responsible for the governance of TIA on behalf of members. The Board is voluntary and expects Management to have systems and processes that ensure close affinity with all members.

Industry Councils
A constitutional grouping of nine specific divisions of the Tourism Industry with a key purpose of electing nine Board Members. The constitutional expectation of handling Industry affairs on a day-to-day basis has been delegated to Management and the Sector Reference Groups. Any member appointed to an Industry Council will be included in an appropriate Sector

Sector Reference Groups
Currently 11 sector groups have been formed to ensure that management is well acquainted with member issues. Each Sector Group is managed by a TIA sector manager. Each sector group usually contains one TIA Board member as well as between 10 and 20 other members distributed both regionally and in terms of size of enterprise. These Sector groups are referred to frequently by TIA to gauge opinion, impact and calibration on serious issues before the Association commits itself to action on behalf of all members. Sector Group members are invited to participate by the CEO of TIA, do not usually meet, but interact via phone, fax and email.

Management
The CEO and Staff of TIA who implement the Board’s strategic direction and handle the day-to-day running of the Association on behalf of its members.
